Peraturan baru menetapkan modal disetor minimum PT PMA sebesar IDR 2,5 miliar.
Under the current regulations, the minimum paid-up (issued and fully paid) capital for a PT PMA is IDR 2.5 billion per company. This requirement is set out in Article 26 paragraphs (9) and (10) of BKPM Regulation No. 5 of 2025.
What is important here is that the regulation specifically governs paid-up capital, not the total project value and not a fixed amount of authorized capital.
Paid-up capital refers to the portion of the company’s capital that has actually been injected by the shareholders as equity and recorded in the company’s articles of association and corporate documents. This forms the company’s core capitalization and reflects the shareholders’ real financial commitment to the business.
Interestingly, the regulation does not stipulate a specific minimum figure for authorized capital for PT PMA. As a result, we fall back on the general rule under the Indonesian Company Law (UU PT), which provides that at least 25 percent of the authorized capital must be issued and paid up.
In practice, this means a PT PMA may structure its capital as follows:
- Authorized capital: IDR 2.5 billion
- Issued and paid-up capital: IDR 2.5 billion
This structure is fully compliant, because the paid-up capital has met the BKPM minimum of IDR 2.5 billion, and at least 25 percent of the authorized capital has been issued and paid up as required under Company Law. There is no legal requirement that the authorized capital must be IDR 10 billion.
This also explains why the figure of IDR 10 billion should not be confused with corporate capital. That number relates to investment value at the project level, not the company’s equity structure.
So from a corporate law perspective, the key threshold for a PT PMA is clear: Minimum paid-up capital = IDR 2.5 billion per company.
